Description of the YAWAL Capital Group

The Yawal Capital Group includes the following companies:

Yawal CS in the Czech Republic (National Court in Ostrava, Section C, number 5511) – 100% of the share capital and voting rights, the date of acquisition of control: 1993; core business: trading activities;
Yawal Ukraine in Ukraine (Statistical Office in Kharkov, number 30988447) – share capital and votes: 100%, consolidated for the first time in 2001, core business: metal treatment and coating as well as trading activities;
Yawal UA in Ukraine (Statistical Office in in Lviv number 35721509) – YAWAL S.A. holds 100% of the share capital and voting rights, consolidated for the first time in 2008 by full consolidation; core business: trading activities. On 30.08.2010, during the Annual General Meeting of YAWAL AU, having its registered office in Lviv, shareholders took a resolution to reorganise the company by joining it with a subsidiary, YAWAL UKRAINE, having its registered office in Kharkiv. The reorganisation is being carried out by joining the company and transferring its all rights, obligations and assets. Registration proceedings regarding the company's joining is in progress;
FINAL S.A. (District Court in Katowice, KRS 62921) – holds 100% of the share capital. FINAL S.A.'s business is metal treatment and coating (PKD 25.61.Z) as well as manufacture of aluminium products and aluminium alloys (PKD 24.42.B), the date of acquisition of control: 31st December 2008.
K–SPV 22 Sp. z o.o. (District Court for Kraków-Śródmieście, KRS 376793) – holds 99.99% of the share capital. K-SPV 22 Sp. z o.o.'s business is the activity of head offices and holdings, excluding financial holdings, (PKD 70.10.Z). The date of acquisition of shares is 27th June 2011.
Yawal System Sp. z o.o. Spółka Komandytowo-Akcyjna having its registered office in Warsaw (District Court for the Capital City of Warsaw, KRS 436397). In October 2012, K-SPV 22 Sp. z o. o acquired 10,495 shares (99.95%). The company's general partner is Yawal System Sp. z o.o. The company's business is lease of intellectual property and similar products, excluding copyrighted works.

On 16.01.2013, Solar Yawal Spółka Akcyjna Spółka Komandytowo-Akcyjna, having its registered office in Dąbrowa, was registered (District Court for Katowice-Wschód, KRS 447592). The company's business is production and processing of other glass, including technical glass. The company's general partner is Yawal System Sp. z o.o. having its registered office in Herby.

As of 31.12.2012, the structure of the Capital Group was as follows:
